IndieMe Terms of Use

Welcome to IndieMe. These Terms of Use govern your access to and use of IndieMe.com, the IndieMe Marketplace, and related services, tools, communications, events, publications, and promotional opportunities offered by IndieMe Marketplace LLC (“IndieMe,” “we,” “us,” or “our”).

By accessing or using IndieMe, creating an account, applying to sell, registering as a buyer, placing an order, submitting content, participating in an event, purchasing advertising, or using any IndieMe service, you agree to these Terms of Use.

If you do not agree to these terms, you should not use IndieMe.

1. About IndieMe

IndieMe is a juried handcrafted wholesale marketplace connecting independent artists with qualified retail buyers. IndieMe is dedicated to handcrafted work made in the United States and Canada.

IndieMe provides marketplace tools, artist storefronts, buyer access, promotional opportunities, events, publications, educational resources, and related services designed to support the handcrafted wholesale industry.

2. Account Eligibility

IndieMe offers accounts for approved artists and qualified wholesale buyers.

Artists must apply and be approved through IndieMe’s juried application process. IndieMe may approve, deny, suspend, or remove artist accounts at its discretion, including if an artist’s work does not meet IndieMe’s handcrafted, USA/Canada, quality, or marketplace standards.

Buyers must be qualified retail buyers, which may include retail stores, galleries, boutiques, museum shops, online retailers, or other approved wholesale buying businesses. IndieMe may approve, deny, suspend, or remove buyer accounts at its discretion.

You agree to provide accurate, current, and complete information when creating or maintaining an account. You are responsible for keeping your login credentials secure and for all activity under your account.

3. Marketplace Role

IndieMe provides a platform for artists and buyers to connect and conduct wholesale business. IndieMe is not the manufacturer, seller, distributor, shipper, payment collector, or guarantor of products sold by artists unless expressly stated otherwise in writing.

Artists are responsible for their products, pricing, descriptions, images, availability, fulfillment, shipping, payment preferences, tax obligations, returns, refunds, customer service, and compliance with applicable laws.

Buyers are responsible for reviewing artist terms, product details, pricing, shipping information, payment requirements, and order details before placing an order.

IndieMe may assist with communication, order questions, buyer support, or artist support when requested, but IndieMe is not responsible for disputes between artists and buyers unless required by law.

4. Commission-Free Order Structure

IndieMe does not take a commission or percentage of wholesale order totals placed through the IndieMe Marketplace. When buyers place wholesale orders on IndieMe, the artist keeps 100% of the order total.

This does not mean IndieMe services are free. Artists may be responsible for seller membership fees, advertising fees, event fees, publication fees, optional promotional fees, third-party payment processing fees, shipping costs, taxes, or other charges they agree to pay.

IndieMe may update fees, plans, services, or pricing at any time.

5. Fees, Subscriptions, Advertising, and Paid Services

Artists may be required to maintain an active seller account or membership plan to sell on IndieMe. Fees may be billed monthly, annually, or according to the selected plan or service.

Paid services may include, but are not limited to, seller memberships, advertising placements, Featured Item Ads, publication placements, event participation, promotional opportunities, educational services, or other optional offerings.

Unless otherwise stated in writing by IndieMe, seller fees, advertising fees, publication fees, event fees, and other paid services are non-refundable.

IndieMe may suspend or limit access to services for nonpayment, failed payments, chargebacks, or billing issues.

6. Buyer and Artist Communications

IndieMe encourages respectful, professional communication between artists and buyers.

Users may not use IndieMe communication tools, buyer inquiries, artist inquiries, account information, marketplace activity, event participation, publication exposure, or any information obtained through IndieMe for spam, harassment, misleading communications, unauthorized marketing, or any purpose that harms IndieMe, its users, or the marketplace.

Users may not scrape, copy, export, sell, rent, share, or misuse buyer or artist information obtained through IndieMe.

7. Buyer Relationship and Marketplace Protection

IndieMe invests in building buyer relationships, artist visibility, marketplace tools, events, publications, education, and promotional opportunities for the handcrafted wholesale community.

Users may not use IndieMe-generated buyer relationships, buyer inquiries, buyer contact information, buyer communications, marketplace exposure, event exposure, publication exposure, promotional placements, or platform tools to redirect buyers to competing wholesale marketplaces or to solicit buyers away from IndieMe.

This includes, but is not limited to, using IndieMe buyer relationships or IndieMe-generated exposure to encourage buyers to place orders through another wholesale marketplace, competing platform, or third-party marketplace.

IndieMe reserves the right to suspend, restrict, or terminate accounts that misuse buyer relationships, redirect buyers to competing platforms, misuse IndieMe-generated opportunities, or otherwise act in a way that harms the IndieMe Marketplace or its community.

8. Prohibited Conduct

You agree not to use IndieMe for any unlawful, harmful, misleading, abusive, or unauthorized purpose.

Prohibited conduct includes, but is not limited to:

  • Misrepresenting products, business identity, location, handmade status, or eligibility.
  • Listing products that are not handcrafted or do not meet IndieMe’s marketplace standards.
  • Using IndieMe to redirect buyers to competing wholesale marketplaces.
  • Misusing buyer or artist contact information.
  • Scraping, copying, harvesting, or exporting marketplace data.
  • Uploading false, misleading, infringing, offensive, or unlawful content.
  • Interfering with the security, performance, or operation of IndieMe.
  • Attempting to access accounts, data, or systems without authorization.
  • Harassing, threatening, or abusing IndieMe users, staff, buyers, or artists.
  • Failing to pay fees owed to IndieMe.
  • Engaging in conduct that damages the trust, integrity, or operation of the marketplace.

9. User Content and Marketing Permissions

Artists, buyers, and other users may submit or upload content to IndieMe, including business names, logos, product images, videos, descriptions, profiles, written content, promotional materials, and other information.

By submitting content to IndieMe, you grant IndieMe a non-exclusive, worldwide, royalty-free license to use, display, reproduce, edit, publish, distribute, and promote that content in connection with IndieMe, including on the website, in marketplace listings, newsletters, social media, Buyer’s Guides, digital publications, advertisements, events, promotional materials, and related marketing.

You represent that you own or have the right to use and submit all content you provide to IndieMe, and that your content does not violate the rights of any third party.

IndieMe may remove, edit, decline, or refuse content at its discretion.

10. Events, Publications, and Promotional Opportunities

IndieMe may offer events, advertising, publications, digital guides, Featured Item Ads, sponsorships, promotional placements, or other visibility opportunities.

Participation in these opportunities may be subject to additional requirements, deadlines, specifications, fees, and approval by IndieMe.

IndieMe does not guarantee sales, buyer responses, traffic, impressions, clicks, inquiries, orders, or any specific outcome from events, advertising, publications, or promotional opportunities.

Unless otherwise stated in writing, fees for events, advertising, publications, and promotional opportunities are non-refundable.

11. No Guarantee of Sales or Results

IndieMe provides marketplace access, tools, visibility opportunities, buyer outreach, and support, but we do not guarantee any specific business result.

IndieMe does not guarantee sales, order volume, buyer inquiries, buyer responses, search placement, traffic, advertising performance, event performance, publication performance, or marketplace success.

Artists are responsible for their own products, pricing, images, descriptions, customer service, buyer follow-up, and overall wholesale readiness.

12. Intellectual Property

The IndieMe name, logo, website design, text, graphics, software, features, page layouts, marketplace structure, tools, publications, and related content are owned by or licensed to IndieMe and are protected by intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, or use IndieMe intellectual property without written permission.

All trademarks, logos, product names, and business names submitted by artists or users remain the property of their respective owners.

13. Third-Party Links and Services

IndieMe may include links to third-party websites, tools, resources, payment processors, partner services, or other external services.

IndieMe is not responsible for third-party websites, services, policies, content, availability, security, fees, or business practices. Your use of third-party services is subject to their own terms and policies.

14. Privacy

Your use of IndieMe is also governed by our Privacy Policy, available at:

By using IndieMe, you agree to our collection and use of information as described in the Privacy Policy.

15. Account Suspension or Termination

IndieMe may suspend, restrict, or terminate your account or access to services at any time if we believe you have violated these Terms, failed to pay required fees, misused buyer or artist information, redirected buyers to competing platforms, misrepresented products or business information, harmed the marketplace, or engaged in conduct that is unlawful, abusive, misleading, or damaging to IndieMe or its community.

IndieMe may also remove listings, content, ads, promotional materials, or account access at its discretion.

Termination does not relieve you of any payment obligations or responsibilities incurred before termination.

16. Disclaimer of Warranties

IndieMe is provided on an “as is” and “as available” basis. We make no warranties or representations that IndieMe will be uninterrupted, error-free, secure, or free of defects.

IndieMe does not warrant that the website, marketplace, services, communications, tools, events, publications, or promotional opportunities will meet your expectations or produce any specific result.

To the fullest extent permitted by law, IndieMe disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

17. Limitation of Liability

To the fullest extent permitted by law, IndieMe Marketplace LLC and its owners, employees, contractors, representatives, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill, or marketplace outcomes.

IndieMe is not responsible for disputes, losses, damages, chargebacks, nonpayment, shipping issues, product defects, returns, refunds, delays, or other issues arising between artists and buyers.

18. Indemnification

You agree to indemnify, defend, and hold harmless IndieMe Marketplace LLC, its owners, employees, contractors, representatives, partners, and affiliates from any claims, losses, liabilities, damages, costs, or expenses, including reasonable attorney fees, arising from your use of IndieMe, your violation of these Terms, your content, your products, your transactions, your communications, or your violation of any law or third-party rights.

19. Changes to These Terms

IndieMe may update these Terms of Use at any time. When we update the Terms, we will revise the “Last Updated” date.

Your continued use of IndieMe after changes are posted means you accept the updated Terms.

20. Governing Law and Venue

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles.

Any dispute arising from or related to these Terms, IndieMe, or your use of IndieMe shall be brought in the state or federal courts located in Cuyahoga County, Ohio, unless otherwise required by law.
